These Terms & Conditions define the general principles, responsibilities and service standards applicable to security, manpower and facility management services provided by Windlex Security & Manpower Services Pvt. Ltd. (“Windlex”, “Company”, “We”, “Us” or “Service Provider”) to its clients (“Client”).

Our services are delivered with a commitment to discipline, integrity, vigilance, professionalism, accountability and respect for people and property.
1. Scope of Services

Windlex shall provide security, manpower, housekeeping, facility management and allied services as mutually agreed with the Client through the quotation, work order, service agreement or other written commercial arrangement.
The scope, deployment strength, working hours, duties and service locations shall be as specified in the applicable work order or agreement.
Any additional manpower, additional shifts, special deployment or services outside the agreed scope shall be subject to mutual approval and applicable commercial terms.

2. Professional Deployment

Windlex shall make reasonable efforts to deploy personnel who are appropriately trained, verified and suitable for the assigned duties.
Personnel shall be deployed in prescribed uniform and shall carry applicable identification documents as required by the Company, Client or law.
Windlex shall maintain appropriate supervisory and operational controls to monitor service delivery.

3. Security & Vigilance

Security personnel shall perform their duties in accordance with the post orders, site instructions, security procedures and applicable laws.

    Their responsibilities may include:
  • Access control and visitor management
  • Gate and perimeter security
  • Protection of personnel and property
  • Patrolling and surveillance
  • Incident reporting
  • Emergency response and escalation
  • Monitoring of movement of material and vehicles
  • Prevention and reporting of unauthorized activities
  • Maintenance of security registers and records

Security personnel shall remain vigilant and shall not knowingly compromise the safety or security of the Client's premises.

4. Training & Discipline

Windlex believes that security is built on people, discipline and process.
Personnel shall be briefed regarding their duties, site requirements, emergency procedures and applicable client instructions.
The Company shall maintain appropriate disciplinary standards and may take corrective action against personnel for misconduct, negligence, unauthorized absence, violation of instructions or breach of Company policy.

5. Compliance & Statutory Requirements

Windlex shall endeavour to conduct its operations in accordance with applicable laws, rules and statutory requirements governing private security, manpower and facility management services.
Where applicable, the Company shall maintain relevant registrations, licences and statutory compliances required for the contracted services.
The Client shall provide reasonable cooperation and timely information required for lawful and effective service delivery.

6. Client Responsibilities

The Client shall:

  • Provide safe and reasonably suitable working conditions.
  • Provide necessary site instructions and post orders.
  • Provide access to areas required for performance of duties.
  • Inform Windlex of known security, safety or operational risks.
  • Nominate an authorized representative for operational coordination.
  • Make payments in accordance with agreed commercial terms.
  • Avoid directly engaging, transferring or employing deployed personnel without prior written consent of Windlex.

7. Working Hours & Deployment

Deployment shall be based on the manpower strength and working hours agreed in the work order.
Any change in shift pattern, duty hours, deployment strength, additional duties or site requirements may result in revision of commercial terms.
Deployment requirements arising from special events, emergencies, festivals, shutdowns, extended working hours or other exceptional circumstances shall be discussed and approved separately.

8. Attendance, Reliever & Replacement

Windlex shall make reasonable efforts to maintain agreed manpower strength.
In case of absence, resignation, misconduct or removal of deployed personnel, Windlex shall take reasonable steps to arrange a replacement, subject to operational feasibility.
Where reliever manpower or additional deployment is specifically required by the Client, the applicable commercial terms shall be mutually agreed.

9. Supervision & Site Audits

Windlex may conduct periodic supervisory visits and site audits to review:

  • Personnel attendance
  • Uniform and turnout
  • Discipline
  • Post performance
  • Registers and documentation
  • Security procedures
  • Client instructions
  • Overall service quality

The Company may use internal reporting, supervisory inspections and technology-enabled monitoring wherever appropriate.

10. Incident Reporting

Any significant security, safety, misconduct, loss, damage, unauthorized access or other material incident identified by Windlex personnel shall be promptly escalated to the designated Client representative and Windlex management.
Where appropriate, an incident report shall be prepared based on available facts and information.
Windlex shall cooperate with the Client and competent authorities in lawful investigations.

11. Confidentiality

All confidential information received by Windlex in connection with the Client's premises, business operations, employees, customers, security arrangements, access systems, documents and processes shall be treated with due confidentiality.
Windlex personnel shall not disclose confidential information except where:

  • Required by law;
  • Required by a competent authority;
  • Necessary for legitimate performance of the contracted services;
  • Authorized by the Client.

12. Data & Personal Information

Windlex shall take reasonable measures to protect personal and operational information obtained during service delivery.
Information shall be used only for legitimate business, operational, compliance or contractual purposes and handled in accordance with applicable law and agreed requirements.

13. Client Property & Equipment

Where the Client provides equipment, access cards, keys, communication devices, registers, uniforms, security systems or other property for operational use, Windlex personnel shall use such items only for authorized purposes.
Loss, misuse or damage arising from proven negligence or misconduct shall be dealt with in accordance with the applicable agreement and law.

14. Prohibited Conduct

Windlex personnel shall not:

  • Report for duty under the influence of alcohol or prohibited substances.
  • Engage in theft, fraud, violence or unauthorized activities.
  • Disclose confidential information.
  • Leave an assigned post without authorization, except in an emergency or as permitted by procedure.
  • Sleep while on active security duty.
  • Misuse Client property or facilities.
  • Accept unauthorized benefits, gifts or payments in connection with their duties.
  • Engage in conduct that may adversely affect the Client or Windlex.
Any violation may result in disciplinary and/or legal action as applicable.

15. Fees & Payment

Service charges shall be as specified in the accepted quotation, work order or service agreement.
Invoices shall be raised according to the agreed billing cycle and payment terms.
Any applicable taxes, statutory revisions, government-mandated wage changes or other legally applicable cost increases may be considered for revision of service charges, subject to the terms of the applicable agreement and law.
Delayed payments may affect operational continuity where such delay materially impacts deployment or statutory obligations.

16. Revision of Minimum Wages & Statutory Costs

Where statutory wages, employer contributions, taxes or other mandatory employment-related costs are revised by the competent authority, the corresponding service charges may be revised to reflect such mandatory changes, subject to the applicable contract.
Windlex shall not be expected to absorb statutory cost increases that materially change the agreed cost structure unless expressly agreed otherwise in writing.

17. Liability

Windlex shall exercise reasonable care, skill, supervision and diligence in providing the contracted services.
However, security services reduce risk but cannot guarantee the prevention of every theft, loss, accident, intrusion, criminal act or unforeseen event.
Any liability of Windlex shall be determined in accordance with the applicable written agreement, applicable law and the actual circumstances of the incident.
Nothing in these Terms & Conditions shall exclude liability that cannot lawfully be excluded or limited.

18. Force Majeure

Windlex shall not be considered in breach of its obligations to the extent performance is prevented, delayed or materially affected by circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government restrictions, strikes, major infrastructure failure or other comparable events.
The parties shall cooperate to restore normal service as soon as reasonably practicable.

19. Service Review & Continuous Improvement

Windlex is committed to continuous improvement.
The Company may periodically review deployment, manpower performance, security procedures, incident trends, client feedback and operational requirements to identify opportunities for improvement.
Client feedback and reasonable service observations shall be considered as part of the Company's quality-management process.

20. Ethical Conduct & Integrity

Windlex follows a zero-tolerance approach towards fraud, corruption, bribery, deliberate misconduct and unethical business practices.
Employees, supervisors, management and representatives are expected to maintain professional conduct and protect the reputation and interests of both Windlex and its Clients.
We believe that trust is earned through transparent conduct, disciplined execution and consistent performance.

21. Non-Solicitation of Deployed Personnel

During the period of service and for such period thereafter as may be lawfully agreed in the applicable contract, the Client shall not directly employ, engage or induce deployed Windlex personnel to leave Windlex without prior written consent.
Any commercial consequences arising from such engagement shall be governed by the applicable service agreement.

22. Termination

Either party may terminate the service arrangement in accordance with the notice period and conditions specified in the applicable work order or service agreement.
Windlex may seek immediate corrective action, suspension or termination in circumstances involving serious non-payment, unlawful instructions, unsafe working conditions, serious misconduct, material breach of contract or other circumstances permitted under the applicable agreement and law.

23. Intellectual Property & Company Materials

Windlex's brand name, logo, training materials, operational formats, proprietary documents, manuals, reports, processes and other intellectual property shall remain the property of Windlex unless otherwise agreed in writing.
No material shall be reproduced, modified or commercially used without appropriate authorization.

24. Governing Law & Dispute Resolution

These Terms & Conditions shall be interpreted in accordance with the laws applicable in India.
The parties shall first attempt to resolve operational or commercial disputes through mutual discussion and escalation between authorized representatives.
Where a dispute cannot be resolved amicably, the applicable dispute-resolution mechanism and jurisdiction specified in the service agreement or work order shall prevail.

25. Order of Precedence

In the event of any inconsistency between these general Terms & Conditions and a specific written service agreement, work order or commercial contract, the specific written agreement shall prevail to the extent of such inconsistency.

26. Website Disclaimer

The information presented on the Windlex website is intended to provide general information regarding the Company's services, capabilities, values and business approach.
Descriptions of services, capabilities, manpower strength, technology, geographical coverage or other information may be updated from time to time.
Publication of information on the website does not by itself constitute an offer to provide services. Actual services shall be governed by the applicable quotation, work order, service agreement and these Terms & Conditions.
